1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MarketKoala Pty Ltd (ABN 84 629 103 471) ("MarketKoala", "we", "us", or "our") governing your access to and use of the website marketkoala.shop and all associated services, content, and materials.

By accessing or using our website, submitting a consultation request, or engaging with our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services. We reserve the right to modify these Terms at any time, and your continued use following changes constitutes acceptance of the revised Terms.

2. Services Description

MarketKoala provides investment research, market commentary, portfolio guidance, and consultation services focused on Australian and global financial markets. Our services are designed to assist investors in making informed decisions about their investment strategies.

Unless expressly stated otherwise in a separate written agreement, MarketKoala provides general financial information and education. We do not provide personal financial product advice unless we hold an appropriate Australian Financial Services Licence (AFSL) and have conducted a formal advice engagement with you. Any information on this website is general in nature and does not take into account your personal objectives, financial situation, or needs.

3. Eligibility

Our services are intended for persons aged 18 years or older who are resident in Australia or hold a genuine interest in Australian financial markets. By using our services, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into binding agreements.

If you are accessing our services from outside Australia, you are responsible for compliance with local laws and regulations applicable in your jurisdiction. We make no representation that our content is appropriate or available for use in locations outside Australia.

4. User Obligations

When using our website and services, you agree to:

5. Intellectual Property

All content on marketkoala.shop — including research reports, market commentary, graphics, logos, software, and design elements — is owned by or licensed to MarketKoala and is protected by Australian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and view content for personal, non-commercial use. You may not copy, reproduce, republish, upload, post, transmit, or distribute any content without our prior written consent, except as permitted by fair dealing provisions under the Copyright Act 1968 (Cth).

6. Fees and Payment

Initial consultation requests submitted through our website are complimentary unless otherwise stated. Paid advisory services, premium research subscriptions, and portfolio management services are subject to separate fee schedules provided before engagement.

All fees are quoted in Australian Dollars (AUD) unless otherwise specified and are inclusive of GST where applicable. Payment terms, cancellation policies, and refund conditions for paid services will be outlined in your service agreement or invoice.

7. Limitation of Liability

To the maximum extent permitted by Australian law, MarketKoala and its directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to investment losses, lost profits, data loss, or business interruption.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to MarketKoala for the specific service giving rise to the claim in the twelve (12) months preceding the claim, or AUD $500, whichever is greater.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

8. Indemnification

You agree to indemnify and hold harmless MarketKoala, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or third-party rights.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Victoria, Australia. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Victoria. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days.
